Agreement to Our Legal Terms

We are KortexMail ("Company," "we," "us," "our"). We operate https://kortexmail.com, as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

KortexMail is an agentic email client designed to be context-aware and priority-focused, built to save users from email overload. Our AI agent reads, processes, prioritizes, and responds to emails on your behalf based on your instructions and learned preferences.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and KortexMail, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms. Your continued use of the Services after the date such revised Legal Terms are posted constitutes your acceptance of the changes.

1. Our Services

Kortexmail provides an AI-powered agentic email management platform. Our Services include automated email reading, prioritization, drafting, and sending on behalf of users. The Services are intended for users aged 18 and above for both personal and internal business use.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such use would be contrary to law. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

2. Intellectual Property Rights

Our Intellectual Property

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, AI models, algorithms, and related content (collectively, the "Content"), as well as trademarks, service marks, and logos (the "Marks").

Our Content and Marks are protected by copyright, trademark, and other intellectual property laws. The Content and Marks are provided "AS IS" for your personal, non-commercial use or internal business purpose only.

Your Use of Our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business purposes. You may not copy, reproduce, republish, sell, license, or otherwise exploit any part of the Services without our express prior written permission.

3. User Representations

By using the Services, you represent and warrant that:

• You are at least 18 years of age;
• You have the legal capacity to agree to these Legal Terms;
• You will not use the Services for any illegal or unauthorized purpose;
• You are authorized to grant our AI agent access to your email account;
• You take full responsibility for all emails sent through the Services on your behalf;
• Your use of the Services will not violate any applicable law or regulation.

4. AI Agent Authorization & Usage

By using Kortexmail, you expressly authorize our AI agent to read, process, prioritize, draft, and send emails on your behalf based on your instructions and learned preferences. You understand and agree that:

• The AI agent acts autonomously based on your settings and historical preferences;
• You remain solely responsible for all emails sent through your account, whether drafted by you or the AI agent;
• You can revoke, adjust, or limit AI permissions at any time through your account settings;
• You can delete all AI-learned preferences and behavioral memory at any time through account settings or by directly instructing the AI agent;
• All email content processed by the AI is end-to-end encrypted and inaccessible to Kortexmail staff — only the AI system can access this data to provide the service;
• We are not liable for the content or consequences of emails sent by the AI agent acting on your authorized instructions.

You are solely responsible for reviewing and approving emails before they are sent, where applicable. We strongly recommend reviewing your AI agent settings regularly to ensure they reflect your current preferences.

5. Beta Program & Data Collection

Beta User Data

If you participate in our Beta Program, you agree that Kortexmail may collect and use certain anonymized usage data to train, improve, and refine our AI models and application features. This includes, but is not limited to:

• Interaction patterns and feature usage statistics;
• AI decision feedback (e.g., whether you approved or rejected an AI action);
• Token usage and performance metrics;
• Aggregated behavioral data used to improve AI personalization.

What We Will NOT Do With Your Data

We are firmly committed to protecting your privacy. Regarding your data, we explicitly commit that:

• We will NEVER sell your personal data or usage data to any third party;
• We will NEVER share your email content with third parties for commercial purposes;
• We will NEVER use your data for targeted advertising;
• All data used for AI training is anonymized and cannot be traced back to individual users;
• Your email content remains end-to-end encrypted and is never accessed by our team.

By participating in the Beta Program, you consent to this limited data collection for the sole purpose of improving the KortexMail service. You may opt out of Beta data collection at any time by contacting us at contact@kortexmail.com or by adjusting your settings in the app.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to:

• Use the AI agent to send spam, phishing emails, or unsolicited bulk communications;
• Use the Services to impersonate another person or entity;
• Attempt to reverse engineer, decompile, or extract the AI models or algorithms;
• Circumvent, disable, or interfere with security features of the Services;
• Use the Services in any way that violates applicable laws or regulations;
• Upload or transmit viruses, malware, or any harmful code;
• Attempt to gain unauthorized access to any portion of the Services;
• Use the Services to harass, abuse, or harm another person;
• Use the Services to compete with Kortexmail or for unauthorized commercial purposes;
• Make improper use of our support services or submit false reports.

7. Subscriptions & Payments

Kortexmail offers monthly and annual subscription plans. By subscribing, you agree to the following terms:

• Subscriptions automatically renew at the end of each billing period unless cancelled;
• You authorize us to charge your payment method on a recurring basis;
• All payments are processed securely by Paddle (https://www.paddle.com/legal/privacy);
• We do not store your debit or credit card details on our servers;
• You may cancel your subscription at any time through your account settings;
• Cancellation takes effect at the end of the current billing period — no partial refunds;
• We reserve the right to modify subscription pricing with reasonable advance notice.

8. Services Management

We reserve the right to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates these terms or applicable law; (3) restrict access to, limit the availability of, or disable any portion of the Services; and (4) otherwise manage the Services to protect our rights and ensure proper functioning.

9. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to the Services to any person for any reason, including breach of these Legal Terms. If we terminate or suspend your account, you are prohibited from registering a new account without our express written permission.

Upon account termination, we will delete your personal data and AI-learned preferences in accordance with our Privacy Policy. Certain anonymized data may be retained for legal compliance or fraud prevention purposes only.

10. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times and will not be liable for any downtime, interruptions, or errors. Nothing in these Legal Terms obligates us to maintain the Services or provide corrections, updates, or releases.

11. Governing Law

These Legal Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You irrevocably consent that the courts of Delaware shall have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

12. Dispute Resolution

Informal Negotiations

To expedite resolution and control costs, both parties agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration. Informal negotiations commence upon written notice from one party to the other.

Binding Arbitration

If informal negotiations fail, any dispute shall be resolved through binding arbitration. Arbitration shall take place in Delaware, United States. The language of proceedings shall be English. The governing substantive law shall be the law of the State of Delaware.

We will pay arbitration fees if they are deemed excessive. Arbitration shall be limited to disputes between the parties individually — no class actions or representative proceedings are permitted.

Exceptions

The following disputes are not subject to arbitration: (a) disputes seeking to enforce intellectual property rights; (b) claims related to theft, piracy, or invasion of privacy; and (c) claims for injunctive relief.

Time Limit

Any cause of action must be brought within one (1) year after the cause of action accrues, or it is permanently barred.

13. Disclaimer

The Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty regarding the accuracy or reliability of AI-generated email content. You are solely responsible for reviewing all AI-generated emails before they are sent.

14. Limitations of Liability

In no event will we or our directors, employees, or agents be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Services. Our total liability to you for any cause of action will be limited to the amount paid by you to us in the six (6) months preceding the claim.

15. Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, or claim arising from: (1) your use of the Services; (2) breach of these Legal Terms; (3) any emails sent by the AI agent on your behalf; (4) your violation of any third party's rights; or (5) any harmful act toward another user of the Services.

16. User Data

We maintain certain data you transmit to the Services for managing performance and your use of the Services. Although we perform regular backups, you are solely responsible for all data you transmit or activities you undertake using the Services. We shall have no liability for any loss or corruption of such data.

All email content is end-to-end encrypted. AI-learned preferences and behavioral data are stored in encrypted form accessible only to the AI system. You may delete your data at any time through account settings or by contacting contact@kortexmail.com.

17. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Services.

18. Miscellaneous

These Legal Terms and any policies posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise any right or provision of these Legal Terms shall not operate as a waiver. If any provision is found to be unlawful or unenforceable, it shall be severed from these Legal Terms without affecting the remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms.
